Manuskrito Institutional Repository Terms of Use
(Effective Date: May 15, 2026)
1. Introduction
This Institutional Repository Terms of Use govern your use of the Manuskrito Institutional Repository service, through which an individual, organizations, departments, institutions, and schools (collectively “Institutions”) can create and manage their own archival or repository space within Manuskrito. By enabling or using the Institutional Repository service, your Institution and its representative(s) agree to be bound by these Terms, in addition to the general Manuskrito Terms of Use and Manuskrito Privacy Policy.
2. Scope of the Institutional Repository Service
Manuskrito’s Institutional Repository service allows your Institution to:
Create and configure a dedicated repository (e.g., for a school, department, organization, or research group).
Allow users (e.g., faculty, researchers, staff, students) to submit manuscripts directly to the repository, or allow your Institution or its administrators to create or import records on behalf of submitters.
Choose whether each record is publicly visible on your Institution’s dedicated page and within Manuskrito’s composite search engine.
Manage and maintain your Institution’s records, access settings, and metadata through your Institutional account on Manuskrito.
Manuskrito admin will manage access to the Institutional account and may, at its discretion, assign or revoke institutional‑level credentials.
3. Service tiers, pricing, and billing
The Institutional Repository service may be offered on a tiered basis, including free and paid plans, depending on features, storage, users, and other variables defined by Manuskrito. Pricing may be annual, with the option of promotional periods (e.g., 3 free months) or none at all, as determined by Manuskrito’s evolving offers. A monthly subscription model may also be introduced, where the fee is based on activity or usage (for example, campaigns or bursts of submissions in a given month or few months per year). Institutions may cancel their subscription at any time without refund for the unused portion of the current billing period. Manuskrito reserves the right to change pricing, tiers, and billing models with advance notice published on the Manuskrito site or via email. Policies and requests concerning charges, payments and refunds are governed by our Payment and Refund policy
4. Institution representation and binding effect
The Institution must be represented by an authorized representative (e.g., an official, administrator, or duly authorized contact) who has the legal or organizational capacity to bind the Institution to these Terms.
By completing the Institutional Repository sign‑up or account setup, the Institution agrees that:
It is bound by these Terms, the general Manuskrito Terms of Use, and the Manuskrito Privacy Policy.
It is responsible for overseeing how its members, users, and submitters interact with the Institutional Repository.
If you do not have the authority to represent the Institution, you must not proceed with the Institutional Repository setup.
5. Data ownership, public viewing, and access
The Institution retains ownership of the data and records stored in its repository, subject to the limited rights granted to Manuskrito under these Terms and the Privacy Policy. The Institution may designate records as publicly accessible, in which case: Those records may be viewed by the public through the Institution’s dedicated page on Manuskrito. The records may also be indexed in Manuskrito’s composite search engine, along with other repositories and sources. The Institution may also choose to restrict, embargo, or remove records from public view at any time through its account settings, in accordance with its policies and applicable laws. Records made public through Manuskrito are indexed and discoverable as permitted by the Institution and in compliance with the Privacy Policy.
6. Use of Institution’s brand and data for marketing
By enrolling in the Institutional Repository program, the Institution:
Grants Manuskrito a non‑exclusive, worldwide, royalty‑free license to use the Institution’s name, logo, department/organization name, and other branding in Manuskrito’s marketing, publications, case studies, and promotional materials.
Consents to Manuskrito referring to the Institution (e.g., in lists of partners, testimonials, or success stories) as a user of the Institutional Repository service, unless explicitly opted out in writing.
Understands that any public references will be made in a manner consistent with Manuskrito’s branding guidelines and applicable privacy rules.
This consent does not extend to Manuskrito disclosing any non‑public institutional data beyond what is already authorized under the Privacy Policy and institutional settings.
7. Compliance with privacy and consent
Institutions are responsible for ensuring that their use of the Institutional Repository service complies with applicable data‑protection laws, including the Philippine Data Privacy Act and any other jurisdiction‑specific regulations. Institutions must obtain appropriate consents from users, authors, or submitters where required, particularly regarding: The collection, processing, and public display of personal data through Manuskrito. The inclusion of their records in Manuskrito’s composite search and public pages. These consents are documented in the Manuskrito Privacy Policy, and the Institution confirms that it has obtained the necessary rights or permissions before allowing submitters’ data to be processed or published. Manuskrito’s role is technical and infrastructural; the Institution remains primarily responsible for its own consent and compliance processes.
8. Uptime, hosting, and third‑party dependence
Manuskrito provides the Institutional Repository service as is and as available, and does not guarantee 100% uptime or uninterrupted service. The service is dependent on hosting providers, cloud platforms, and other third‑party services. Manuskrito shall not be liable for any errors, downtime, data loss, or performance issues arising from these external providers. Manuskrito will use reasonable efforts to maintain stability and security but cannot be held responsible for delays or interruptions caused by factors outside its direct control. Institutions are encouraged to maintain local backups of critical records as part of their own data‑management policies.
9. Intellectual property and branding
The Manuskrito name, logo, and platform branding remain the property of ChordexBio and may not be used by the Institution without prior written permission. The Institution may use screenshots or snippets of Manuskrito’s interface in internal documentation, training materials, or non‑commercial communications, provided that proper attribution is given and that the use does not imply endorsement or misrepresent the nature of the service. Third‑party trademarks or logos referenced on Manuskrito remain the property of their respective owners.
10. Limitation of liability and disclaimer
To the fullest extent permitted by law, ChordexBio and Manuskrito shall not be liable for any indirect, incidental, consequential, or punitive damages arising from: Use of the Institutional Repository service. Errors, delays, or downtime caused by third‑party hosting or service providers. Loss or misuse of data by the Institution or its users. The Institution agrees to indemnify and hold harmless ChordexBio and Manuskrito against any claims arising from its breach of these Terms, misuse of the service, or violation of third‑party rights through records or data submitted or stored in its repository. Nothing in these Terms limits liability for death or personal injury, fraud, or any other liability that cannot be excluded or limited by law.
11. Modifications, enforcement, and waiver
Manuskrito may update or modify these Institutional Repository Terms of Use from time to time. Changes will be effective upon posting on the Manuskrito site, and continued use of the service constitutes acceptance. If Manuskrito does not enforce a particular provision at a given time, this does not constitute a waiver of that provision or any other right under these Terms. Any provision found invalid or unenforceable shall be severed, and the remaining provisions shall remain in full force and effect.
12. Governing law and dispute resolution
These Manuskrito Institutional Repository Terms of Use shall be governed by the laws of the Republic of the Philippines, without regard to conflict‑of‑law principles. Disputes arising from or related to the Institutional Repository service shall be resolved through negotiation, mediation, or, as a last resort, the courts of competent jurisdiction in the Philippines.
13. Withdrawal and Account Deletion
Institutions may withdraw from the Institutional Repository service or request the deletion of their Institutional account at any time by contacting Manuskrito via the official support channels. Withdrawal or deletion must be requested by an authorized representative of the Institution, as described in Section 4 (Institution representation and binding effect). Upon receipt of a valid withdrawal or deletion request, Manuskrito will: 1) stop charging the Institution for any future billing periods; 2) deactivate the Institutional Repository, and 3) remove or archive institutional data in accordance with the Manuskrito Privacy Policy and applicable data-retention requirements (e.g., archival life of manuscript records).Certain records may be retained in anonymized or aggregated form for system-wide search, analytics, or legal-retention purposes, as described in the Privacy Policy. Manuskrito is not required to restore an institutional account or data that has been deleted, except as required by law. To request withdrawal from the Institutional Repository or deletion of your Institutional account, please contact Manuskrito using the contact details provided in Section 14.
